Setup: who does what

Setting Up the Indian Subsidiary After Approval: Step-by-Step Plan for a Chinese Parent

By Abhishek Jaiin, Chartered Accountant (ICAI membership no. 544646), AU Corporate · Last updated 26 October 2026

Short answer

A Chinese parent forms an Indian private limited company in four to six weeks from complete documents, but only after the government approval under Press Note 3 is in hand and the Chinese filings allow the remittance. The work splits cleanly: the Chinese side prepares the approvals, documents and funds, while the Indian team handles the name, SPICe+, registrations, bank account and RBI reporting. Two clocks run after the money arrives: share allotment within 60 days and Form FC-GPR within 30 days of allotment.

Points that differ for a Chinese-owned company

  • Approval before incorporation: do not file SPICe+ until you are sure the approval covers the entity and shareholding you plan.
  • Ultimate owner questions: the Registrar, the bank and the auditor will ask for details of the ultimate beneficial owners. Prepare an ownership chart and identity papers in advance.
  • Director clearance: a Chinese citizen proposed as director needs Ministry of Home Affairs clearance. Name an Indian resident director first and add Chinese directors later if needed.
  • Name and objects: choose objects that match the approved project. A wide clause can attract questions.
  • Bank due diligence: expect enhanced due diligence and requests for the approval letter. Open the account only when the documents are complete.
  • Time difference: China is two and a half hours ahead of India, so calls are easy.

The first 180 days

  • File INC-20A within 180 days of incorporation before starting business.
  • Appoint the first auditor within 30 days of incorporation.
  • Register for GST, provident fund, ESI, professional tax and the shops and establishment licence, depending on the state and headcount.
  • Set up accounting, payroll and the compliance calendar. See compliance calendar.
  • Open an escrow of documents for the Press Note 3 conditions, if any, and keep a record of compliance.

Where the plan slips

  • The government approval takes longer than planned.
  • Document names do not match across the Chinese set and the Indian forms.
  • The Chinese outbound filing and the Indian approval describe the project differently.
  • The bank asks for additional ownership documents after funds are ready to move.
  • The 60-day allotment clock starts when funds arrive; if the Indian company is not ready, the funds must be refunded.
